Real Estate Terms

Bidding Procedure:  The properties will sell by the Multi-Parcel Auction Method to the highest bidder(s). The properties will sell in the manner resulting in the highest total bid price(s), subject to the confirmation of the Seller.

Acceptance of Bid Prices:  The successful bidder will sign a Confirmation of Sale Agreement at the auction site immediately following the close of bidding.  All lot splits subject to final approval by all appropriate county and township regulatory authorities.

Down Payment:  Ten percent (10%) as down payment day of auction, upon signing of Confirmation of Sale Agreement; balance due at closing.  Bidding IS NOT CONDITIONAL UPON FINANCING.

Real Estate Taxes:  Taxes will be prorated to date of closing using long pro-ration method.

Tract 3 Rezoning:  Seller has submitted rezoning application to Clark County Planning Commission seeking rezoning of this tract from A10 (Agricultural) to A1 (Agricultural Residential) to allow for its separation from the Seller’s remaining acreage.  Tract 3 will be offered for sale subject to final approval of rezoning request by Clark County Planning Commission.

Closing Date:  Tracts 1 and 2—on or before June 9, 2006; Tract 3—on or before the later of June 9, 2006 or 14 days following final approval of rezoning request (see above).  Purchaser(s) will pay customary portion of closing costs at closing.

Possession:  Date of closing subject to tenant’s rights reserved to harvest 2006 grain crops.
