Bidding Procedure:  The property will sell ABSOLUTELY to the highest bidder regardless of price—NO MINIMUMS OR RESERVES.


Acceptance of Bid Prices:  The successful bidder will sign a Confirmation of Sale Agreement at the auction site immediately following the close of bidding.


Buyer Premium:  A 10% premium will be added to the final bid price to form the final contract price.


Down Payment:  Lesser of $25,000 or 100% of purchase price as down payment will be deposited with the Auction Company on the date of auction upon signing of Confirmation of Sale Agreement; balance due at closing.  Bidding IS NOT CONDITIONAL UPON FINANCING.


Real Estate Taxes:  Taxes will be prorated to date of closing using short proration method.


Closing Date:  On or before November 30, 2011.  Purchaser will pay customary portion of closing costs at closing.


Possession:  Date of closing.

Environmental Compliance:  Seller has contracted with an environmental service company to ensure compliance with federal, state, and local environmental compliance regulations.  Seller has complied with all regulations to date.  Responsibility for future compliance will pass to Purchaser at closing.  Seller will cooperate with Purchaser in the transfer of all environmental compliance responsibility matters.
