Terms
Initial Round Bid Submission: Bid Packages will be accepted in person or electronically (e.g., email, fax, or similar means) at the offices of SHERIDANS LLC, 200 Parkview Lane, Cedarville, OH, through Wednesday, August 27, 2025, at 3:00 PM Eastern, time being of the essence. Each bid must state a firm, unconditional purchase price expressed as a single, total dollar amount, with no escalation clauses, contingencies, conditions, or modifications of any kind. Any bid that includes variable pricing, additional terms, or is otherwise nonconforming will be considered null and void. The Seller reserves the right, in its sole discretion, to accept or reject any bid submitted.
Second Round Bid Escalations: The top two initial round bidders will have the opportunity to submit in writing a raise of their respective bid on or before Thursday, August 28, 2025, at 3:00 PM.
Contracting: Real Estate Company will notify the high bidder not later than Friday, August 29, 2025, at 12:00 Noon. Seller and Purchaser will sign a Confirmation of Sale Agreement via electronic signature or in person within 24 hours of notification of Seller’s acceptance of bid.
Down Payment: The Purchaser agrees to deliver to SHERIDANS via overnight mail, wire transfer (plus $45 wiring fee), or personally delivered funds the down payment of $25,000 within 24 hours of notification of Seller’s acceptance of Purchaser’s bid. Personal delivery of down payment may be made at 200 Parkview Lane, Cedarville, Ohio. All amounts will be paid in U.S. funds. Bidding IS NOT CONDITIONAL UPON FINANCING.
Real Estate Taxes: Taxes will be prorated to date of closing using long proration method.
Transaction Closing Date & Related: On/before October 14, 2025. Purchaser will pay customary portion of closing costs at closing. Closing will be conducted by Home Site Title Agency, Xenia, OH.
Possession: On or about date of closing.
