REAL ESTATE TERMS

Bidding Procedure: The property will sell at Absolute Auction to the highest bidders. No reserves or minimum bid. Tracts will sell by the Multi-Parcel Method in individual tracts, in combinations of tracts, or in the entirety to the highest bidder(s). Bidding on all tracts and combinations during the auction will be determined by the Auctioneer. All bids will compete and will remain open for bid advancement until the auctioneer announces the property to be sold or closes the bidding. The properties will sell in the manner resulting in the highest total bid price(s).

Acceptance of Bid Prices: The successful bidder will sign a Confirmation of Sale Agreement at the auction site immediately following the close of bidding.

Swing Tracts: Tracts 8, 9 and 10 will be offered in combination with any contiguous tracts with qualifying road frontage or to any bidder who owns real property with qualifying road frontage contiguous to the Swing Tracts. Any interested buyer(s) bidding on contiguous tracts with qualifying road frontage or any landowner owning contiguous land with qualifying road frontage to the Swing Tracts are eligible to bid on Swing Tracts.

Down Payment: 10% down as earnest money day of auction upon signing of Confirmation of Sale Agreement; balance due at closing. Down payment may be paid in form of cash, personal check, or cashier’s check. Bidding IS NOT CONDITIONAL UPON FINANCING.

Real Estate Taxes: Taxes estimated by Greene County Auditor prorated to date of closing. Purchaser to be responsible for any CAUV recoupment charges due to change in land use.

Survey: The Seller will provide a new survey to the Purchaser(s). All lot splits and new division lines are subject to the final approval of all appropriate Greene County and Xenia Township governmental departments. A $200 per tract survey fee will be charged to the buyer(s) at closing for each individual tract purchased. Remainder of survey costs to be paid by the Seller.

Closing Date: On or before March 17, 2004.

Possession: Date of closing.
